Alberta corporations, extra-provincial registrations, societies, non-profit companies, trade names and partnerships, limited partnerships, limited liability partnerships, religious societies and cemetery companies may voluntarily dissolve if they no longer conduct business in Alberta. In addition, these entities can be struck off Corporate Registry's active records if they do not file their required annual returns, except trade names, partnerships and limited partnerships, religious societies and cemetery companies.

Once you have registered a trade name or partnership, you should dissolve it if you cease to operate your business under the registered business name. Trade names, partnerships, and limited partnerships are not struck by the registry. They do not file annual returns.

Dissolving a Legal Entity

To voluntarily dissolve an Alberta Corporation and a society complete Articles of Dissolution and Statement of Intent to Dissolve forms.

Top voluntarily dissolve a trade name, complete a Declaration of Ceasing to Carry on business Under a Trade Name form.

To voluntarily dissolve a partnership, complete a Declaration of Dissolution of Partnership form.

If an extra-provincial corporation has ceased operation in the home jurisdiction, or not longer wishes to carry on business in Alberta , the corporation cancels its extra-provincial registration by submitting a letter from an authorized representative of that extra-provincial corporation.

To dissolve a society or a non-profit company, a request must be submitted in writing to the Corporate Registry Office. Registry offices are not able to dissolve a society or non-profit company.

Reviving a Legal Entity
 

Has your corporation been struck or dissolved in error?

If you fail to file the necessary information to corporate registries, within the required timelines, you may find that your corporation has been "struck" from the corporate data-base. One Stop Licence Shop's professional corporate team can help you revive your legal entity. Contact us and we will be pleased to walk you through the steps. For example:

To revive an Alberta corporation and an Alberta society, Articles of Revival or Articles of Revival of a Society forms are required. One Stop Licence Shop can assist you with this process.

Reviving a non-profit company usually requires a court order. The Companies Act must be consulted for specifics.

An extra-provincial corporation will reinstate and must complete the Application to Reinstate Extra-Provincial Corporation form. One Stop Licence Shop can assist you with this process.

There is no provision in the Partnership Act to revive a business name if it becomes inactive. A new trade name, partnership, limited partnership, limited liability partnership, name must be registered. Contact us - we can assist you with this process.

To revive an Alberta society or restore a non-profit company, a request must be submitted to the Corporate Registry Office. Registry Offices are not able to revive a society or a non-profit company.

Note: Only a person with an interest in the corporation, society, or non-profit company may revive it. An interested person is someone with monetary or legal rights which have been somehow affected by the dissolution of the corporation, society, or non-profit company, e.g. a directory, shareholder, or creditor, or someone with an existing relationship to the corporation, society or non-profit company during the period it was active.

Additional Requirements to Revive a Corporation
 

When reviving an Alberta corporation, all required Annual Returns must be submitted to One Stop Licence Shop.

However, the annual return requirement does not apply to the reinstatement of extra-provincial corporations.

When reviving a society or restoring a non-profit company, all outstanding annual returns must be submitted to the Corporate Registry office. Registry Offices are not able to revive a society or non-profit company.

In addition, if the legal entity has been inactive for more than three years, a NUANS Report will be required unless the legal entity has a numbered name. A NUANS report is always required with the exception of Federal corporations, for reinstatement of an extra-provincial registration. The three-year rule does not apply.
